Welcome to Jeladai Company Limited ("Jeladai", "we", "our", or "us"). This Service and Usage Agreement ("Agreement") governs your access to and use of all products and services provided by Jeladai, including but not limited to shared web hosting, reseller hosting, WordPress hosting, cloud hosting, Virtual Private Servers (VPS), dedicated servers, domain name registration and management, SSL certificates, business email hosting, website migration, DNS management, website security solutions, software development services, and any other related products or services offered by Jeladai. By creating an account, purchasing any service, or accessing or using our platform, you acknowledge that you have read, understood, and agreed to be legally bound by this Agreement. If you do not agree with any provision contained herein, you must immediately discontinue the use of our services.
To use Jeladai's services, you must have the legal capacity to enter into a binding agreement under the applicable laws of your jurisdiction. By registering an account or purchasing any of our services, you represent and warrant that you are at least eighteen (18) years of age or otherwise legally authorized to enter into contractual obligations. You further agree to provide complete, accurate, and up-to-date registration information, maintain the confidentiality of your account credentials, and accept full responsibility for all activities conducted through your account. Any unauthorized use of your account should be reported to Jeladai immediately upon discovery.
Jeladai provides a range of technology solutions designed to support individuals, businesses, and organizations. Our services include, but are not limited to, shared web hosting, reseller hosting, WordPress hosting, cloud hosting, Virtual Private Servers (VPS), dedicated servers, domain registration and transfers, SSL certificates, business email hosting, DNS management, website migration, automated backup services, cybersecurity solutions, software development, API integrations, cloud infrastructure management, and technical consulting services. Detailed descriptions, technical specifications, pricing, and availability of our services are published on our website and may be updated from time to time without prior notice to reflect technological advancements, operational improvements, or changes in business requirements.
Customers are responsible for maintaining accurate account information throughout the duration of their relationship with Jeladai. You agree to safeguard your username, password, authentication credentials, and any other account security information against unauthorized access. You are solely responsible for all activities carried out using your account, regardless of whether such activities were authorized by you. In addition, customers are responsible for maintaining independent backups of all website files, databases, emails, and other digital content stored using our services. While Jeladai may provide backup facilities for convenience, these backups should not be considered a substitute for your own backup strategy.
Jeladai's infrastructure and services must be used in a lawful, ethical, and responsible manner. Customers agree not to use our services to engage in illegal activities, fraudulent transactions, deceptive practices, copyright infringement, trademark violations, phishing attacks, denial-of-service attacks, malware distribution, ransomware deployment, unauthorized system access, spamming, cryptocurrency mining without prior written authorization, or any activity that compromises the security, stability, or performance of our infrastructure or that of third parties. The hosting, distribution, or transmission of unlawful, harmful, defamatory, abusive, or otherwise prohibited content is strictly forbidden. Any violation of this Acceptable Use Policy may result in immediate suspension or permanent termination of services without prior notice.
Customers using shared hosting services are expected to utilize server resources fairly and responsibly. Excessive consumption of CPU resources, memory, disk input/output operations, storage inodes, or bandwidth, as well as the operation of long-running background processes, unauthorized server applications, or activities that negatively impact other customers or overall server performance, may result in temporary service limitations, suspension, or a recommendation to upgrade to a Virtual Private Server or Dedicated Server solution better suited to the customer's operational requirements.
Email services provided by Jeladai are intended solely for legitimate communication purposes. Customers must not use our email infrastructure to send unsolicited commercial messages, operate open mail relays, purchase or distribute mailing lists, send phishing messages, transmit malicious software, or engage in activities that may damage the reputation of our mail servers or cause our IP addresses to be blacklisted. Jeladai reserves the right to impose reasonable sending limits, temporarily suspend email functionality, or take other necessary measures to preserve the integrity, security, and reputation of our email services.
Domain registration, renewal, transfer, and management services provided by Jeladai are subject to the policies and regulations established by the applicable domain registries, registrars, and, where applicable, the Internet Corporation for Assigned Names and Numbers (ICANN). Domain registration is not guaranteed until successful payment has been received and the domain has been confirmed by the relevant registry. Customers are responsible for renewing domain names before their expiration dates. Jeladai shall not be responsible for domains that expire due to non-payment or failure to renew. Expired domain names may become subject to redemption periods, restoration fees, auction procedures, or permanent deletion according to the rules of the relevant registry.
Customers agree to pay all fees associated with the services they purchase on or before the applicable due dates. Customers are responsible for maintaining accurate billing information and valid payment methods throughout the subscription period. All applicable taxes, duties, and government-imposed charges remain the responsibility of the customer unless otherwise stated. Failure to settle outstanding invoices within the specified payment period may result in suspension or termination of services, temporary loss of access, suspension of associated domain names, or permanent deletion of customer data following the applicable retention period.
Refund eligibility varies depending on the specific service purchased. Unless otherwise expressly stated in writing or advertised as part of a promotional offer, domain name registrations, domain renewals, SSL certificates after issuance, software licenses, VPS services, dedicated servers, and other provisioned infrastructure services are generally non-refundable. Shared hosting services may qualify for a money-back guarantee where such a guarantee has been expressly advertised. All refund requests will be evaluated in accordance with Jeladai's Refund Policy and the specific circumstances surrounding the purchase.
Certain services provided by Jeladai may be configured for automatic renewal when recurring billing has been enabled by the customer. Customers remain solely responsible for ensuring that valid payment methods are maintained and that sufficient funds are available to process renewal payments. Failure to renew services before their expiration dates may result in service interruption, suspension, deletion of website files, databases, email accounts, backups, or permanent loss of associated domain names, depending on the type of service involved.
Although Jeladai may periodically create courtesy backups of customer data for operational purposes, such backups are provided solely as a convenience and without any guarantee of availability or recoverability. Customers remain entirely responsible for maintaining their own secure and up-to-date backups of all files, databases, emails, applications, and digital content. Jeladai does not guarantee the successful restoration of data under any circumstances and shall not be liable for losses resulting from failed or unavailable backups.
Jeladai reserves the right to suspend or temporarily restrict access to any service without prior notice whenever such action is reasonably necessary to protect the security, stability, integrity, or lawful operation of our infrastructure. Suspension may occur where there is suspected fraud, abuse, non-payment, unauthorized system access, malicious activity, violation of this Agreement, or compliance with applicable legal obligations. Suspension of services does not relieve customers of their responsibility to pay outstanding charges incurred before or during the suspension period.
Either party may terminate this Agreement in accordance with its terms. Jeladai reserves the right to terminate customer accounts immediately in cases involving material breaches of this Agreement, fraudulent activity, repeated abuse, illegal conduct, security threats, or persistent non-payment. Upon termination, customer services may be permanently disabled, and all associated data may be deleted following the expiration of any applicable retention period unless otherwise required by law.
Customers retain ownership of all lawful content, software, databases, trademarks, and intellectual property that they upload or create using Jeladai's services. Jeladai retains all ownership rights in its infrastructure, software platforms, systems, documentation, trademarks, branding, logos, website content, proprietary technologies, and related intellectual property. Nothing contained within this Agreement shall be interpreted as transferring ownership of intellectual property from either party except where expressly agreed in writing.
Jeladai is committed to providing reliable, secure, and high-quality hosting and cloud services. However, customers acknowledge that uninterrupted service cannot be guaranteed. Service interruptions may occur due to scheduled maintenance, emergency maintenance, software updates, hardware failures, telecommunications disruptions, internet outages, cyberattacks, failures of third-party providers, or circumstances beyond our reasonable control. Jeladai will make commercially reasonable efforts to minimize service disruptions whenever possible.
To the fullest extent permitted by applicable law, Jeladai shall not be liable for any indirect, incidental, consequential, exemplary, punitive, or special damages arising from or related to the use of our services, including but not limited to loss of profits, loss of revenue, business interruption, reputational harm, goodwill, data loss, or loss of anticipated savings. In any event, Jeladai's total aggregate liability for any claim shall not exceed the total amount paid by the customer for the affected service during the three (3) months immediately preceding the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless Jeladai, its directors, officers, employees, affiliates, contractors, partners, and representatives from and against any claims, liabilities, damages, losses, costs, expenses, or legal fees arising from your use of the services, your violation of this Agreement, infringement of any third-party rights, unlawful activities conducted through your account, or any content that you upload, publish, transmit, or distribute using Jeladai's infrastructure.
Jeladai respects the privacy of its customers and processes personal information in accordance with its Personal Data and General Privacy Policy. By using our services, you acknowledge that you have read and understood our Privacy Policy and consent to the collection, processing, storage, and use of your personal information as described therein. Customers are encouraged to review the Privacy Policy regularly to remain informed about our privacy practices.
Jeladai shall not be liable for any delay, interruption, or failure in the performance of its obligations where such delay or failure results from events beyond its reasonable control. These events may include, but are not limited to, natural disasters, floods, earthquakes, fires, pandemics, acts of war, terrorism, labor disputes, governmental actions, power failures, internet outages, telecommunications failures, cyberattacks, or failures of third-party suppliers or infrastructure providers.
Jeladai reserves the right to amend, revise, or update this Agreement from time to time to reflect changes in applicable laws, business operations, technology, or service offerings. Updated versions of this Agreement will be published on our website together with the revised effective date. Continued use of our services after the publication of any revised Agreement constitutes acceptance of the updated terms.
This Agreement shall be governed by and interpreted in accordance with the laws of the United Republic of Tanzania. Any dispute arising out of or relating to this Agreement, the use of Jeladai's services, or any related contractual relationship shall be subject to the exclusive jurisdiction of the competent courts of the United Republic of Tanzania, unless otherwise required by applicable law.
